Terms of Service

By accessing or using ProcurIX ("the Service"), operated by ProcurIX ("we," "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

ProcurIX is a supplier optimization and spend analysis platform that helps procurement teams make data-driven sourcing decisions. The Service includes data ingestion, normalization, spend analysis, supplier risk scoring, cost optimization, and reporting tools.

You must provide accurate, complete registration information. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access.

During the early access period, access is granted at our discretion and may be revoked at any time.

You own your data. All supplier data, spend records, bid information, and analysis outputs you create using ProcurIX remain your property. We claim no ownership over your data.

You grant us a limited license to process, store, and display your data solely for the purpose of providing the Service. This license terminates when you delete your data or close your account.

You are responsible for ensuring you have the right to upload any data to ProcurIX and that doing so does not violate any confidentiality agreements or applicable laws.

You may not:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code
• Share account credentials with unauthorized parties
• Resell access to the Service without written permission

Paid plans are billed monthly or annually as selected. Prices are in USD. All plans include a 14-day free trial with no credit card required.

You may cancel at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

We reserve the right to change pricing with 30 days' notice. Price changes do not apply to the current billing period.

We target 99.9% uptime for paid plans. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our control.

ProcurIX provides optimization recommendations based on the data you provide. All sourcing decisions remain your responsibility. We are not liable for business outcomes, supplier performance, or losses resulting from decisions informed by the Service.

Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

The Service, including its models, algorithms, interface, and documentation, is our intellectual property. Your use of the Service does not grant you any rights to our intellectual property beyond the limited license to use the Service as described herein.

Either party may terminate at any time. Upon termination, you may export your data for 30 days. After 30 days, your data will be permanently deleted.

We may suspend or terminate your access if you violate these terms, with notice when practicable.

We may update these terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use after changes constitutes acceptance.

These terms are governed by the laws of the State of Texas, United States. Any disputes will be resolved in the courts of Harris County, Texas.
